Subscription & Shareholders Agreement

WHAT’S IT FOR?

In the UK many early-stage capital raises are managed via a single Subscription and Shareholders Agreement or SSA rather than two independent documents. This inevitably saves startups both time and money. Such a document is appropriate for an investment into an existing company, where the founder(s) retain their shares. The subscription and shareholders’ agreement will, unless issues have arisen during the due diligence exercise, reflect the provisions of the term sheet.

Please note that this is a “Drafting Only” package and does not include us conducting any due diligence on the company, advising on tax or direct negotiations, attending signing or settlement or any correspondence with the counter-party or their lawyers.

This scope also assumes that the transaction does not involve reviewing the company constitution, preparing any company resolutions, employment or other compliance issues.
