WHAT’S IT FOR?

Capital raising is a complex process, from designing an investment structure and negotiating the terms of the deal, to preparing the legal documentation and completing corporate actions.

WHAT’S INCLUDED?

We’ll advise your company on your capital raising strategy and documentation.

This package includes:

• Performing a quick review of your existing Shareholder Agreement & Company Constitution (if any)
• Preparing & making one (1) round of amendments to a Share Subscription Agreement to suit the requirements of your business
• Preparing documents for each investor participating in the round (up to 5 investors)
• Preparing share certificates for each investor participating in the round
• Preparing the relevant shareholder & director resolutions

Please note this package does not include any negotiation support or further rounds of amendments in addition to the scope above. If your capital raising round involves more than 5 investors, then additional fees will apply.

This package does not include any assistance with reviewing any other documents, assistance with due diligence or corresponding with the investors on your behalf.
