What's it for?

An advanced subscription agreement is an investment for equity where the investor pays in advance for shares that will be allocated at a later date. Sprintlaw can assist in setting up an Advanced Subscription Agreement (ASA).

What's included

We'll prepare an Advanced Subscription Agreement for use in your business. This package includes:

  • Phone consultations with a Sprintlaw lawyer (up to 60 minutes)

  • A high level review of your company constituent documents

  • Preparing an Advanced Subscription Agreement in accordance with your instructions

  • 1 round of finalising changes to your Advanced Subscription Agreement for up to 5 investors

  • Preparing a Shareholders Agreement

  • Preparing any required ancillary documents (including investor consent notice, board resolution and shareholder resolution)

Before we can commence work, we will be required to complete identity verification and other checks required by law on your business and any individuals we are required to verify, including beneficial owners and authorised representatives.

Please note this package only includes 1 round of changes to your Advanced Subscription Agreement to finalise the document for up to 5 investors. If you require more rounds of changes or more support due to negotiations with investors, or you have more than 5 investors, we can set up an additional fixed-fee project.

Please note that we will prepare a standard form Advanced Subscription Agreement that complies with the EIS tax relief manual from the HMRC. However, you should liaise with an accountant on specific matters relating to the issue of shares. It is also recommended that you take advance assurance from HMRC for any special or additional circumstances.
