Unsure about how we work? We have gathered the most common questions for your convenience.
The consultation is used to test the legal shape of the arrangement before the parties commit to documents or implementation steps. That usually includes what each side is contributing, how control should work, what decisions need consent, how returns are expected to be shared and what should happen if the venture changes or ends. We also look at whether the venture is better documented through a contractual arrangement, a company, an LLP or another structure. The goal is to identify the main legal and commercial pressure points early, while there is still room to adjust the deal.
It is commonly used by businesses planning a shared project, strategic collaboration, new trading vehicle or investment-backed arrangement with another party. It can also be useful where the commercial deal has been discussed in principle, but the parties have not yet pinned down governance, ownership, exit rights or responsibility for funding and day-to-day decisions. This is a good fit where you want a focused legal conversation about the setup itself, rather than a broad advisory retainer. If the venture later expands into a larger transaction, further work can be scoped separately.
The main document is often a joint venture agreement recording the commercial deal and the operating rules between the parties. Depending on the structure, related shareholder or member agreements may also be appropriate, especially where a company or similar vehicle is being used. Those documents can address ownership, voting, reserved matters, transfers, deadlock, confidentiality and exit routes. The fixed-fee is aimed at the core set-up work described on this page. If the venture needs a wider suite of ancillary documents, that would usually be handled under a separate scope.
Broader work is often needed where the arrangement involves multiple entities, significant investment, intellectual property licensing, employment issues, property arrangements, financing terms or regulated activities. In those cases, the consultation is still useful because it helps identify what the wider legal workstream is likely to involve and what should be prioritised first. This page covers a one-off consultation and core set-up support, not end-to-end transaction delivery. If the matter grows beyond the initial structure and agreement stage, we can discuss the next phase separately.
No. The fixed-fee covers the consultation and the agreed set-up work, such as advice on structure and drafting or reviewing the core venture documents. Tax and accounting consequences may need separate advice. Ongoing representation, full transaction management and day-to-day support once the venture is operating are outside this service. If a corporate vehicle is involved, completion steps can depend on the company records and any existing shareholder arrangements, which may also affect whether further legal work is needed before the setup can be finalised.
