Customer terms and reseller terms solve different problems. Your customer terms govern the end user relationship, while the reseller agreement sets the rules with the intermediary selling or promoting the software. That often includes who can make sales commitments, whether the reseller can discount, how branding can be used, who handles onboarding or first-line support, and what happens if the relationship ends. Without that separate contract, it is easier for misunderstandings to arise around authority, pricing promises, territory, exclusivity and the handover of customer information.
