Software projects often go wrong because the commercial deal is discussed at a high level, but the contract does not pin down how delivery is meant to work. Problems commonly arise around unclear specifications, moving milestones, informal change requests, disputed acceptance criteria, and confusion over whether custom code is assigned or only licensed. The clauses that usually need the most care are scope, specifications, milestones, testing and acceptance, change control, fees, delay events, intellectual property ownership, licence rights for pre-existing materials, confidentiality, data handling, support obligations, warranties, liability wording and termination rights. In many software matters, the real pressure points are acceptance and IP. For example, if the agreement is vague on when work is accepted or who owns newly created code, the parties can end up in a difficult commercial position even if the technical work has been done.

If the contract value is meaningful or the build has technical complexity, a drafted or reviewed agreement is usually a better fit than relying on a broad template that was not written for the deal.
