FAQs

Frequently asked questions

Unsure about how we work? We have gathered the most common questions for your convenience.

The short answer is that the scope matters more than the label. SaaS terms or website terms may govern customer use of your product generally, but they often do not say enough about developer access, integration rights, credential use, rate limits, onward use of outputs, or what happens if API access is suspended or deprecated. An API agreement gives you a dedicated contract for that relationship. It can also deal more directly with technical misuse, unauthorised sharing, and the commercial boundaries around building on top of your platform.

An API agreement will often deal with access rights, credentials or keys, usage limits, acceptable and prohibited use, integration restrictions, confidentiality, intellectual property, data-related wording, service availability language, suspension rights, termination and liability clauses. Some agreements also cover branding permissions, attribution, support boundaries and whether access can be passed to affiliates or end users. The exact mix depends on whether the API is public or private, free or paid, and whether it is a core product offering or a supporting feature within a wider software service.

Important details include what the API does, who will use it, whether access is invite-only or open to approved developers, what data or outputs are exchanged, and whether developers may store, cache, analyse or commercialise those outputs. It also matters whether your documentation already sets technical rules that the contract should support. If personal data is involved, the legal position depends on the way the business handles information in practice. The agreement should match the real integration model, not just the product label used internally or in marketing.

Yes. If you already have developer terms, onboarding wording or a proposed agreement from a customer or commercial partner, we can review and adapt that material. That is often useful where the current draft broadly covers access but leaves gaps around IP ownership, restrictions on reuse, data handling, suspension rights or liability wording. We can also flag where the contract language does not line up with the way the API is actually offered. If several related documents need review together, that may require a separate scope and quote.

Standard wording can miss the details that matter in practice, especially where the arrangement involves data, payments, liability or regulated steps. However, early-stage APIs often change quickly and may have unusual data flows, commercial restrictions or integration assumptions that generic wording does not capture well. A standard form may not line up with your developer documentation, pricing model, access controls or product roadmap. That can create friction later if a developer relies on wording that does not match the live service. Tailored drafting Your lawyer will explain the practical position and your options in plain English. if the product or usage model changes significantly after the agreement is put in place.
