If the paperwork is unclear, assumptions about ownership can break down quickly. A separate assignment helps record exactly what is being transferred and by whom. That can be especially important where the project involved employees, consultants, subcontractors or collaborators under different arrangements and not everyone contributed on the same contractual basis.
The document will usually identify the parties, define the deliverables being assigned, and state when the transfer takes effect. It may also deal with carve-outs for pre-existing materials, background IP, limited retained rights or licence-back arrangements where the creator still needs some use of the material. Depending on the project, it can also address further assurance wording, confidentiality links and moral rights issues.
