Unsure about how we work? We have gathered the most common questions for your convenience.
An agreed exit still needs careful wording. The deed is where the practical and legal detail gets pinned down, including what is being paid, what branding must stop, what materials are returned, whether claims are being released and which obligations continue after the relationship ends. If those points are left vague, disputes can arise later about stock, equipment, confidential manuals, customer communications or restraint wording. A well-prepared deed helps convert the commercial understanding into a document that is clearer to sign and easier to work from afterwards.
The deed will usually deal with settlement sums or repayment positions, return of manuals and branded assets, de-identification of premises, confidentiality, releases, restraint clauses and practical handover steps. Depending on the exit, it may also address stock, equipment, customer-facing materials, website or social media branding, and the timing for stopping use of intellectual property. We draft or review the deed against the actual arrangement between the parties, rather than relying on generic settlement wording that may miss franchise-specific issues.
The wording depends on the original franchise agreement, any side agreements, the commercial terms already discussed, and whether there are unresolved complaints or payment issues. It also matters whether the exit involves one site or several, what assets need to be returned, and whether there are ongoing restrictions around customers, staff or branding. If the other side has already produced a draft, we can review that text and suggest changes so the deed lines up more closely with the exit position you actually want recorded.
Usually not where the exit has real commercial detail behind it. Franchise exits often involve brand controls, confidential operating materials, local marketing assets, unpaid fees, release wording and restraints that need to match the underlying franchise documents. A generic settlement form may be too broad in some places and too thin in others. That can leave uncertainty after signing, especially if there is later disagreement about handover steps or continuing obligations. A deed prepared around the actual franchise arrangement is generally more useful than adapting a broad template.
Timing depends on whether we are drafting from scratch or reviewing a deed that already exists, and on how settled the commercial terms are. If the main points have already been agreed and the documents are available, the work can often move within a few business days. It may take longer where there are active negotiations, missing franchise documents or disagreement about payments, releases or restraints. Once instructed, we will let you know what information is needed and give you a practical timeframe based on the deed and the surrounding issues.
