Because the commercial risk often sits in the details. A purchase order or short email chain may not say enough about delivery standards, acceptance, delays, defective goods or services, liability caps, ownership of work product, or what happens if supply stops unexpectedly. A dedicated supplier agreement gives those issues a clearer contractual home. That is particularly useful where the relationship is ongoing, the spend is material, the supplier has access to systems or confidential information, or the business depends on regular performance rather than one-off delivery.

Most supplier agreements deal with the goods or services being supplied, pricing and invoicing, payment timing, delivery or service standards, acceptance, warranties, liability allocation, confidentiality, intellectual property, termination rights, and what happens on exit. Some also include service levels, change control, subcontracting limits, or obligations around customer data and business continuity. The exact drafting depends on the arrangement. For example, a software supplier, marketing supplier and physical goods supplier may each need different emphasis even if the contract structure looks similar at first glance.

We usually need the commercial terms already discussed between the parties, including what is being supplied, pricing, payment timing, delivery expectations, service levels if any, and any known concerns about liability, ownership or confidentiality. If there is an existing draft, purchase order, proposal or supplier terms, that is useful too. The more clearly the commercial deal is described, the more accurately the legal drafting can reflect it. Where the arrangement is still evolving, we can identify the points that should be settled before the document is finalised.

That depends on the value, complexity and risk profile of the relationship. A basic template may work for a low-risk arrangement with simple terms, but it can fall short where there are ongoing services, service levels, bespoke deliverables, intellectual property issues, or meaningful exposure if the supplier underperforms. Templates also tend to be weak on exit mechanics and responsibility for losses. A tailored agreement is often more useful where the supplier is business-critical or where the consequences of delay, defects or confidentiality breaches would be commercially significant.

Timing depends on the complexity of the arrangement and whether you need a fresh draft or a review of supplier terms already on the table. In many cases, once we have the key information, the first draft or review can be completed within a few business days. After that, you can review the document and request changes within the included amendment round. If negotiations become extended or the matter turns into ongoing dispute support, that would sit outside this fixed-fee and may require a separate quote.
