The most useful starting point is a summary of the commercial deal and any existing documents that already record part of it, such as heads of terms, proposal documents, technical schedules or a draft from the other side. We usually need to understand who the parties are, how the system will operate, how charges are calculated, when supply is treated as starting, who is responsible for maintenance and what performance assumptions have been discussed. The clearer those points are at the outset, the more accurately the agreement can reflect the arrangement you actually want documented.
