Most procurement agreements cover the goods or services being purchased, pricing and invoicing, delivery or implementation timing, acceptance criteria, service levels, confidentiality, intellectual property ownership or licensing, liability allocation, suspension rights and termination. Some also include change control, reporting obligations, subcontracting restrictions or milestone-based payment terms. The exact mix depends on whether the deal is for products, services, software-related deliverables or a combination of these. If there are statements of work, proposals or purchase orders in the background, the agreement often needs to tie those documents together clearly.
