Usually when the outsourced function is important enough that vague wording could create cost, delay or accountability problems later. That often includes customer support, back-office operations, software support, marketing delivery, managed services or any arrangement where the provider will access systems, information or customer-facing processes. A short services contract may not say enough about service levels, dependencies, change requests, subcontracting or handover on exit. A dedicated outsourcing agreement gives those points proper structure before the relationship is tested in practice.
It commonly covers the services, service levels or KPIs, charging model, invoicing, change control, subcontracting, intellectual property, confidentiality, information handling, liability, business continuity points, termination and transition support. Some matters also need acceptance criteria, escalation routes, customer responsibilities or restrictions on provider access to systems and data. The exact drafting depends on the outsourced function and the delivery model. For example, outsourced payroll support, software maintenance and customer service each raise different contract issues even if they are all described as outsourcing.
The key details are what the provider is actually doing, how performance is measured, whether there are service credits, what systems or information the provider can access, whether subcontractors are involved and what happens if the service fails. Charging structure matters too, including fixed fees, usage-based pricing, milestones or minimum commitments. If personal or commercially sensitive information is being shared, the legal position depends on the way the business handles information in practice, not just on the label attached to the service.
Often it is not, especially where the operational model is specific. Templates can include the usual headings but still leave major gaps around service levels, dependencies, change requests, handback support, customer cooperation obligations or limits on subcontracting. They may also use generic data clauses that do not reflect how information is actually collected, used and shared between the parties. That can matter a lot if the provider is embedded in your systems or customer journey. Tailored drafting is usually more useful where the service is ongoing or business-critical.

A straightforward review can move faster than a full first draft for a detailed outsourcing arrangement with schedules and service levels.
