FAQs
Frequently asked questions
Unsure about how we work? We have gathered the most common questions for your convenience.
The difficulty is usually not the idea of drawing a line under the matter. It is whether the deed actually defines what claims are being released, whether the release is mutual or one-sided, and whether any obligations continue after signing. If those points are left vague, parties can later disagree about whether a payment was a condition of the release, whether confidentiality still applies, or whether certain claims were carved out. A careful draft helps connect the legal wording to the real commercial outcome rather than relying on broad statements that can be read in different ways.
A deed of release will often name the parties, describe the claims or issues being released, and set out any payment or other consideration linked to the release. It may also include liability wording, confidentiality obligations, non-disparagement terms, return of property, intellectual property references or practical exit arrangements. Some deeds also need carve-outs for claims that are not being released or obligations that continue after completion. The exact content depends on the context, but the aim is to capture the agreed release position in one enforceable document.
We will usually need a summary of the background, what the parties have agreed in principle, and any documents that help explain the issue, such as an earlier contract, correspondence or an existing draft. The drafting can look very different depending on whether the matter involves a supplier dispute, unpaid fees, a business exit or another commercial issue. If there are staged payments, continuing obligations or specific carve-outs, those details are important to raise early because they often affect the structure of the deed, not just a few final clauses.
A short template may be tempting, but it can be risky if it does not reflect the real arrangement. For example, it may not deal properly with instalment payments, partial releases, confidentiality expectations or linked obligations that survive after signing. It can also be too broad, which may mean a party gives up more rights than intended, or too narrow, which may leave the dispute only partly resolved. A tailored draft or review is usually worthwhile where the matter has any commercial value, ongoing relationship issues or specific terms that need to be preserved.
Many deed of release matters can be progressed within about a week once we have the relevant background and a clear summary of the agreed position. Timing may be longer if the deed needs to cover multiple parties, detailed payment mechanics or more involved carve-outs. After the draft is prepared or reviewed, the next step is usually to settle the wording and arrange signing. If the matter then moves into wider negotiations, enforcement or ongoing dispute work, that would be separate from this document service and scoped separately if needed.
