Agreement in principle is only part of the picture. The surrender document is where the parties record exactly when the lease ends and what happens around handover. That can include final rent, service charge, return of keys, vacant possession, condition of the premises, any payment from one side to the other, and whether claims are being released. If those points are left in emails or informal conversations, there is more room for disagreement later. A written agreement helps tie the commercial deal back to the lease being brought to an end.
Most surrender agreements identify the original lease, state the surrender date and set out the practical and financial terms of the exit. Common clauses cover handover of the premises, keys and access devices, final rent and other sums, treatment of any rent deposit, removal of goods, reinstatement or repair points, and wording about whether liabilities are released or preserved. The exact drafting depends on the lease and what the parties have actually agreed. If there are side arrangements, staged handover points or unresolved dilapidations discussions, those may need careful treatment in the document.
Usually we need the signed lease and a clear summary of the proposed exit terms. Helpful information includes the intended surrender date, whether the premises will be handed back empty, what is happening with any deposit, whether either side is making a payment, and whether there are open issues about repairs, reinstatement or arrears. If the landlord or their lawyer has already produced a draft, we can review that instead of starting from scratch. The more settled the commercial position is, the easier it is to produce wording that matches the deal.
Sometimes a template can help you see the basic structure, but lease exits are often more fact-specific than they first appear. A generic form may not deal properly with arrears, service charge balancing, guarantor positions, reinstatement obligations, partial releases or the practical handover arrangements for the premises. If the wording is too broad or too vague, the lease may end while arguments about money or condition continue. A tailored draft or review is usually more useful where the parties want the surrender terms to reflect the actual lease and the actual exit deal.
